These terms govern your use of Centerflow, a service provided by Centerflow B.V. (KvK: 98042084), located at Herengracht 320, 1016 CE ‘Amsterdam, Netherlands.
Service Description
Centerflow is a cloud-based analytics platform that connects marketing campaigns to actual revenue through CRM integrations and advanced tracking. Our software provides campaign performance insights and revenue attribution across multiple marketing channels.
Account and Usage Terms
Account Creation: You must create an account to use our services. You’re responsible for keeping your login credentials secure and confidential. Accounts are personal and cannot be shared.
Acceptable Use: You may only use Centerflow for lawful business purposes. Prohibited activities include:
- Distributing malware or harmful software
- Storing illegal, threatening, or infringing content
- Interfering with our systems or other users
- Reverse engineering or copying our software
Usage Limits: We may impose reasonable usage limits on data storage, network traffic, or user accounts. Exceeding limits may result in additional charges or service restrictions.
Service Availability and Support
We strive to maintain high service availability but cannot guarantee uninterrupted access. Scheduled maintenance will be announced in advance when possible. Emergency maintenance may occur without notice.
Support is available through our helpdesk chat function and email. We aim to respond promptly to all support requests.
Data and Privacy
Your Data: You retain ownership of all data you upload to Centerflow. We act as a data processor under GDPR when handling personal data on your behalf.
Our Use: We may use anonymized, aggregated data for service improvement, analytics, and algorithm training. We implement appropriate security measures to protect your data.
Third Parties: We use trusted service providers (including AWS and Google Cloud Platform) to deliver our services. All subprocessors are bound by equivalent data protection obligations.
Intellectual Property
All rights to Centerflow software, documentation, and related materials remain with Centerflow B.V. and our licensors. You receive a non-exclusive license to use our services during your subscription term.
You may not copy, modify, distribute, or reverse engineer our software. Violations may result in immediate termination and penalties up to €25,000 per incident.
Payment Terms
Billing: Subscription fees are charged according to your selected plan. Prices exclude VAT unless stated otherwise. Payment is due immediately upon subscription or account creation.
Payment Methods: We accept SEPA direct debit, iDEAL, credit cards, and bank transfers. Ensure sufficient account balance for automatic payments.
Late Payment: Accounts with payments overdue by 30+ days may be suspended. Accounts overdue by 60+ days may be terminated. Late payment interest and collection costs apply.
Price Changes: We may adjust pricing annually with reasonable notice. Unreasonable increases give you termination rights.
Liability and Indemnification
Our Liability: Our total liability per calendar year is limited to 50% of fees paid in the previous 12 months. We’re not liable for indirect damages, lost profits, or business interruption.
Your Responsibility: You indemnify us against third-party claims arising from your use of our services or violation of these terms.
Data Accuracy: While we strive for accuracy, you’re responsible for ensuring our service output meets your requirements and for the accuracy of data you input.
Subscription and Termination
Term: Subscriptions run for minimum 6-month terms with automatic renewal. Cancellation requires 30 days notice before term expiration through your account dashboard.
Termination Rights: We may immediately terminate for non-payment, breach of terms, bankruptcy, or legal requirements. Service discontinuation requires 60 days notice when possible.
Effect of Termination: Upon termination, access ends immediately. Outstanding fees become due. We’ll delete or return your data as requested, subject to legal retention requirements.
Employee and Competition Restrictions
During your subscription and for 24 months after termination, you agree not to solicit or hire our employees. Violations incur penalties of €50,000 or the employee’s annual salary, whichever is higher.
You also agree not to develop competing services during subscription and for 36 months after termination.
General Terms
Agreement Changes: We may modify these terms with 14 days written notice. Continued use constitutes acceptance unless you terminate within the notice period.
Assignment: You cannot transfer this agreement without our consent. We may transfer to affiliated companies or in business transactions.
Governing Law: Dutch law governs this agreement. Disputes will be resolved in Dutch courts where we’re located.
Severability: If any provision is invalid, the remainder stays in effect. Invalid terms will be replaced with similar valid provisions.
Data Processing Agreement
This addendum applies when Centerflow processes personal data on your behalf.
Roles and Responsibilities
Data Controller: You determine the purposes and means of personal data processing. You must ensure lawful processing and obtain necessary consents.
Data Processor: We process personal data only according to your documented instructions and applicable data protection laws.
Data Protection Officer: Koen Schipper (support@centerflow.nl) serves as our DPO for privacy-related matters.
Processing Details
We process personal data for campaign tracking, performance analytics, and revenue attribution as detailed in Appendix 1. Processing is limited to EEA countries unless adequate safeguards are implemented for international transfers.
Sub-processors: We engage AWS and Google Cloud Platform as sub-processors under equivalent data protection obligations. Current sub-processor lists are available on our website.
Security and Breach Response
We implement appropriate technical and organizational security measures including encryption and access controls. Data breaches will be reported to you within 72 hours with relevant details and mitigation measures.
Data Subject Rights
We’ll forward data subject requests to you and provide reasonable assistance in responding. You remain responsible for handling such requests in compliance with GDPR.
Data Retention and Deletion
Upon agreement termination, we’ll delete or return personal data as you direct, except where legal retention is required. Processing records are maintained as required by GDPR Article 30.
Audits and Compliance
You may audit our compliance annually through independent third parties. Audit costs are your responsibility unless significant breaches are discovered.
Appendix 1: Data Categories
Client Contact Persons
Data Subjects: Business contacts at client companies using Centerflow
Personal Data Categories:
- Full names and job titles
- Business email addresses and phone numbers
- Company names, addresses, and organizational details
- Marketing platform account credentials and API keys
- Billing and payment information
Processing Purposes:
- Account setup and management
- Service delivery and technical support
- Contract execution and billing
- Product updates and communication
- Customer relationship management
Legal Basis: Contract performance and legitimate business interests
Retention Period: Duration of business relationship plus 7 years for accounting records
Website Visitors and End Users (via Tracking)
Data Subjects: Visitors to client websites where Centerflow tracking is implemented
Personal Data Categories:
- Anonymized behavioral data including:
- Hashed IP addresses (not directly identifiable)
- Browser type, version, and device information
- Operating system and screen resolution
- Referral sources and UTM parameters
- Pages visited and time spent on site
- Click interactions and form submissions
- Session timestamps and duration
- Geographic location (country/region level)
Processing Purposes:
- Marketing campaign performance tracking
- Revenue attribution and conversion analysis
- Website analytics and optimization
- A/B testing and user experience improvement
- Fraud prevention and security monitoring
Legal Basis: Legitimate interest for analytics, consent where required by applicable law
Retention Period: 13 months for raw data, indefinitely in anonymized/aggregated form
CRM Integration Data
Data Subjects: Customer leads and contacts in client CRM systems
Personal Data Categories:
- Lead identification data (names, emails, phone numbers)
- Sales opportunity information and deal values
- Customer interaction history and touchpoints
- Purchase behavior and transaction data
- Lead scoring and qualification status
Processing Purposes:
- Connecting marketing campaigns to actual sales outcomes
- Revenue attribution across marketing channels
- Sales performance analysis and reporting
- Lead quality assessment and optimization
Legal Basis: Legitimate interest for business analytics
Retention Period: Aligned with client CRM retention policies, maximum 5 years
Data Controller Responsibilities: The client (data controller) must ensure all personal data processing complies with applicable privacy laws, including obtaining necessary consents from data subjects and providing appropriate privacy notices. Centerflow processes this data solely on behalf of and according to instructions from the data controller.
